Terms of Service

1. Acceptance of Terms

By accessing and using the CodeJanitor website (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

2. Services Provided

CodeJanitor provides legacy code remediation, technical debt cleanup, code auditing, and software development consulting services. Specific deliverables, timelines, and pricing are defined in individual service agreements.

3. Intellectual Property

All code, documentation, and deliverables produced during an engagement remain the intellectual property of the client upon full payment. CodeJanitor retains the right to use generic techniques and methodologies developed during engagements in future work.

4. Confidentiality

We sign Non-Disclosure Agreements (NDAs) before accessing any client source code. We maintain strict confidentiality of all client information, codebases, and business processes.

5. Payment Terms

Late payments may result in suspension of services.

6. 30-Day Guarantee

We offer a 30-day risk-free guarantee on all engagements. If you are unsatisfied with the quality of our work within the first 30 days, you may request a full refund of fees paid for that period.

7. Limitation of Liability

CodeJanitor shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the fees paid by the client in the 30 days preceding the claim.

8. No Warranty

While we strive for excellence in all our work, software development inherently carries risks. We do not guarantee that our work will be free of bugs or errors. We do, however, commit to fixing any issues introduced by our code at no additional cost.

9. Termination

Either party may terminate a monthly engagement with 7 days' written notice. Upon termination, all work completed up to the termination date will be delivered to the client.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

11. Changes to Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated revision date.
